Footnote 1: General Package Terms
(1) Beyond Enterprise are Custom Packages;
(2) 1, 3 and 5 year contracts optional with 3 and 5 year contracts subject to pre-determined annual price increase;
(3) Annual pre-payment discount of 5% applied for all pre-payments received on or before Service Initiation Date (SID) or renewal;
(4) Registered Education and Non-Profit Discount of 5% applicable to eligible organizations; and
(5) Hourly rates for Non-FlexHours excluded and subject to change.
Footnote 2: Employee Counts and Licenses
(1) Employee Count (EC) is the recommended staff count for the corresponding FlexHours package;
(2) Licenses for Software is included up to the indicated number in the EC field unless otherwise specified in the corresponding software license field and include on-device and cloud licenses;
(3) Software Licenses only available for clients that prepay annually;
(4) Software licenses that are not user specific and are associated with a product such as VPS, correspond to the number of products offered;
(5) Clients can purchase additional licenses as needed directly from Smartt for employees not covered in their package or upgrade their package to ensure coverage;
(6) Software must be associated with client owned devices or otherwise covered by a formal BYOD (Bring Your Own Device) Policy and may not be used for any other use including by subsidiaries, other organizations, personal use or re-sold or assigned;
(7) New licenses obtained outside of FlexHours Service Initiation Date (SID) are pro-rated where possible by OEM Software Vendor and at Smartt sole discretion. Where such pro-ration is not possible the renewal date for those licenses will continue to be the date of purchase;
(8) Month to Month Clients may cancel or downgrade their FlexHours package. In both instances all outstanding amounts for the licenses, stand-alone products or services (such as Internet Connectivity) no longer covered by FlexHours become immediately due and will be invoiced in a lump sum or on a monthly basis, depending on the terms of the service, until the term to deliver the service ends according to the price, service and package options described in the respective product or service page on the Smartt Website;
(9) Month to month and Annual Contract clients may not upgrade and then downgrade a package or otherwise gamify the system;
(10) Prices subject to change as OEM Software Vendors change pricing offered to Smartt. Smartt reserves the right change prices as needed up to date of counter-signed FlexHours Agreement and from time to time after that date with 30-day notice at which time the new prices take effect;
(11) Price changes take effect for clients on annual (or longer) renewals at anniversary of the respective FlexHour Package.
Footnote 3: Email All Clients have the option to use Microsoft 365 (Exchange P1) or MagicMail. Clients must choose 1 option and can not have both.
Footnote 4: Ninja One and Barracuda License cost for servers and other non-employee assets not included and must be purchased by client.
Footnote 5: Microsoft Licenses
Any changes by Microsoft made to respective options will be reflected on the Smartt website within 30 calendar days and clients will be informed in writing of the change which will be in effect within 30 calendar days or when Microsoft makes the changes (whichever occurs earlier).
Footnote 6: Digital Transformation Credits
(1) Unless otherwise stated, all credit amounts are offered as one-time amounts, are applicable only to 1 year and longer contracts and must be used before the Term of the agreement is completed"
(2) Amounts are only valid if purchased directly through Smartt and only available through existing Smartt OEM or Partner Agreements;
(3) Amounts can not be converted or transferred and do not compound;
(4) Any unused amounts can not be carried over into new Terms or Agreements unless expressly agreed by Smartt and part of Term renewal agreement;
(5) Cybersecurity Credit can be used for consulting and remediation services offered by Smartt, are for professional services only and do not include costs for Software, Hardware or Travel;
(6) Smartt Cloud & Adoption Migration credit can be used for consulting and professional services to migrate workloads between on-premise, public or private clouds to Smartt; and also for Smartt hosted VPS and VPC virtual machines and associated software;
(7) Digital Marketing credit can be used for digital marketing ads for client campaign(s) including Facebook and Google only if Smartt is engaged to create strategy and execution of the campaign(s) and where campaigns run a minimum of 6 calendar months;
(8) Software Procurement discount applied to perpetual and annual subscription of software and only available if paid in fully;
(9) Hardware Procurement discount applied for capital expenditure of hardware and any options available by OEM including, specifically extended support options and where Smartt provides pass-through sales and specifically does not apply to leased assets.

Non FlexHours requests that are cancelled with less than 24 hours notice are charged the minimum charge of 2 hours. This cancellation charge does not apply to FlexHour clients.

FlexHours can be allocated monthly across Smartt services (Branding, Web Development, Digital Marketing and IT services) based on your business needs, goals, and performance. Packages are based on standard digital roadmaps for similar organizations or customized according to your needs.

We will then conduct audits to benchmark your desired services across Branding, Web Development, Digital Marketing, and IT Services against best practices and the latest trends. Recommendations are prioritized based on your priorities and resources available so that they can be part of your digital roadmap.

Digital Roadmap
A roadmap serves as an evolving blueprint that describes and measures integrated programs so that you can align resources to improve results and position for the future. Each key area is prioritized into four levels. By having a strong idea of what your next steps are, we can balance the short term with the longer term to avoid making choices that may create reworks in the future.

Ongoing Execution
Our team will use the allocatable FlexHours each month to work as an extension of your team. Each month’s tasks and focus will be agreed on mutually based on your digital roadmap and latest needs. Additional hours outside of your FlexHours package are also available as according to our standard Rate Card.
